Terms of Service

1. Agreement and the Service

These Terms of Service (“Terms”) are a legally binding agreement between you and OpinionLive (“we,” “us,” or “our”) governing your access to and use of our websites, apps, and related offerings (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

We may modify the Service or these Terms from time to time. If we post updated Terms and the changes are material, we will provide notice as appropriate (for example, on the Service or by email). Continuing to use the Service after updates become effective means you accept the revised Terms.

2. Eligibility

You represent that you meet the minimum age and legal capacity requirements in your jurisdiction and that you have authority to enter into these Terms. The Service is not intended for children where local law requires parental consent or prohibits use. You may not use the Service if you are barred from doing so under applicable law or if we have suspended or terminated your account.

3. Your account

You may need to register for an account. You agree to provide accurate information, keep credentials secure, and promptly update your details. You are responsible for activity under your account. Notify us if you suspect unauthorized access. We may require verification steps (such as phone or email authentication) before certain features are available.

4. Acceptable use

You agree not to:

• violate any law or third-party rights, or use the Service to promote illegal or harmful conduct;
• harass, threaten, dox, defame, or discriminate against others, or solicit personal information from minors;
• post unsolicited commercial messages, phishing, malware, or other deceptive or malicious content;
• compromise the security or stability of the Service (including probing, exploiting, circumventing, scraping or mass-collecting data without permission, overloading infrastructure, or misusing bots);
• interfere with votes, trending, ranking, matching, chat, or other users’ experience—including manipulating results through coordinated inauthentic behavior;
• impersonate us, another user, or a third party;
• bypass or circumvent technical limits, moderation actions, geographic blocks, paywalls where applicable, or documented API use rules.

We reserve the right to investigate violations and cooperate with authorities as permitted by law.

5. User content

If you submit text, videos, audio, feedback, proposals, reactions, votes, discussion posts, chat messages, or similar material (“Content”) through the Service, you retain ownership of your Content, except as described below.

To operate and improve the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify format, transmit, distribute, publicly display when needed for UI, derive aggregate or de-identified analytics, and create derivative summaries for moderation or safety— all limited to delivering, securing, analyzing, promoting, and improving OpinionLive as described in our Privacy Policy.

You represent that you have the necessary rights to your Content and that it complies with these Terms. We may remove or restrict Content that we believe violates these Terms, our policies, or the law.

6. Moderation, suspension, and termination

We may moderate the Service, including automated and human review, rate limits, reports, and enforcement. We may suspend or terminate access to your account or remove Content at any time, with or without notice, for conduct that we believe violates these Terms, creates risk, or is otherwise harmful. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination (including sections on disclaimers, limitations, indemnity, and governing law).

7. Topics, votes, and matching

Topics and related information may be supplied by us, users, or third-party sources. They are for discussion and community engagement only. Votes, tallies, trends, and matches do not constitute professional, financial, legal, or medical advice. We do not guarantee the accuracy, completeness, or timeliness of any topic, outcome, or match. Matchmaking and chat depend on availability of other users and system conditions; we do not guarantee you will be matched or that conversations will meet your expectations.

8. Third-party services

The Service may integrate with or link to third-party sites, authentication providers, analytics, or platforms (for example, Google services used for sign-in, hosting, or measurement). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services or content.

9. Intellectual property

Except for your Content, the Service—including software, branding, logos, and design—is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service as offered. You may not copy, modify, distribute, sell, or reverse engineer our proprietary materials except where allowed by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES, DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPINIONLIVE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the extent permitted by law.

12. Indemnity

You will defend, indemnify, and hold harmless OpinionLive and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. You and we agree that the state and federal courts located in Delaware will have exclusive jurisdiction for disputes arising out of or relating to these Terms or the Service, subject to any rights you may have under mandatory consumer protection laws in your country of residence.

14. General

These Terms, together with our Privacy Policy and any additional terms we present for specific features, form the entire agreement between you and us regarding the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
